Anti-Slavery and Human Trafficking Statement

1. Introduction

NeoDyne Limited and its subsidiaries (together, “NeoDyne”) are committed to conducting business in an honest, ethical and responsible manner. We adopt a zero-tolerance approach to modern slavery, human trafficking, forced labour and child labour within our operations and supply chains.

This statement sets out the steps taken by NeoDyne to prevent and mitigate the risk of modern slavery and human trafficking within our operations and supply chains.

2. Our Business and Supply Chain

NeoDyne is a global engineering company providing industrial automation, digital manufacturing and electrical engineering solutions and services to the Life Sciences, Food & Beverage and Energy sectors across Ireland, the UK, the US and mainland Europe.

Our supply chain includes providers of engineering equipment and materials, subcontracted engineering and technical services, professional services, IT and software and other services supporting our operations.

We expect our suppliers, subcontractors and business partners to uphold the same high standards that we set for ourselves.

3. Policies and Procedures

NeoDyne’s Anti-Slavery, Human Trafficking and Forced Labour Policy sets out our commitment to preventing modern slavery and applies to our employees, contractors, suppliers, subcontractors, consultants and business partners.

NeoDyne’s Sub-Contractor Management Policy sets out the requirements for the appointment, evaluation and control of contractors and subcontractors.

NeoDyne’s Whistleblowing Procedure provides a mechanism for employees to report suspected illegal or unethical conduct and protects employees who raise concerns in good faith from retaliation or disadvantage.

4. Assessing and Managing Risk

New contractors and subcontractors carrying out work for or on behalf of NeoDyne are required to be registered, assessed and approved before commencing work. The requirements are scalable and relative to the contractor’s scope, business type and services provided.

NeoDyne recognises that modern slavery risks may vary between industries and territories and prioritises suppliers in low-risk jurisdictions while recognising that vigilance is required globally.

Contractors and subcontractors are required to comply with NeoDyne EHS Management System procedures and to maintain the required compliance status. NeoDyne monitors contractor and subcontractor compliance during site and office activities.

5. Training

New employee induction covers relevant modern slavery policies, processes and procedures. The Anti-Slavery, Human Trafficking and Forced Labour Policy forms part of our Employee Handbook and is acknowledged by all employees. Employees also receive training on relevant EHS policies and procedures as part of our ISO 14001 and ISO 45001 management systems.

Employees are expected to remain alert to potential indicators of modern slavery and human trafficking and to report any concerns. Concerns may be raised with a NeoDyne Director, EHS Manager or Whistleblowing Officer and will be treated confidentially and sensitively.

6. Monitoring and Evaluation

Our Anti-Slavery, Human Trafficking and Forced Labour Policy is reviewed annually and our supplier and subcontractor controls are subject to ongoing review.

NeoDyne monitors the effectiveness of its controls through measures including subcontractor approval and compliance status, employee policy acknowledgement and induction completion, and concerns raised through our reporting procedures.

7. Legal Framework

Our approach is guided by relevant anti-slavery and human trafficking legislation, including the UK Modern Slavery Act 2015, the Irish Criminal Law (Human Trafficking) Act 2008, as amended, and the US Trafficking Victims Protection Act (TVPA).

8. Approval
